Sekundarni povzetek: Signing the construction contract with the selected contracor presents for the investor the beginning of the realization of the intention to build or reconstruct the facility under consideration. The contract requires the contractor to execute the given scope of works, and the investor to pay the contractual price. Both parties, the investor and the contractor, have to be aware of large risks accompanying the contract. The contract object is namely an endeavour that requires a large number of participants, significant financial means and a lot of time. Therefore, the contract has to be composed with dilligence. The key requirements in this process are thorough acquintance with legal nature of the construction contract, correct interpretation of the contractual clauses and familiarity with other properties of this type of contracts. Fulfilling these elements leads to successful cooperation of the parties and mutual satisfaction. Legal practice shows frequent conflicts or even lawsuits between the parties. In many cases the object of the conflict is the turn - key contract. The thesis concludes that the responsibility often lies, among other factors, in poorly prepared project documantation, as well as in legislature that allows the execution of tenders based on incomplete project documentation.

Povzetek (ePrints): Podpis gradbene pogodbe z izbranim izvajalcem del pomeni za naročnika začetek udejstvovanja njegove namere po izgradnji ali rekonstrukciji določenega objekta. S to pogodbo se izvajalec zaveže realizirati določeno gradnjo ali del nje, naročnik pa se v zameno za opravljeno delo zaveže plačati pogodbeno določeni znesek. Obe stranki se morata pri tem zavedati velikega tveganja, ki spremlja investicijski podvig. Predmet gradbene pogodbe je namreč izvršitev posla, ki praviloma terja veliko udeležencev in visoka finančna sredstva, poleg tega pa terja tudi svoj čas. Gradbena pogodba mora biti zato sestavljena skrbno in premišljeno. Pri tem je ključnega pomena dobro poznavanje pravne narave gradbenih pogodb, pravilna razlaga pogodbenih klavzul in poznavanje ostalih lastnosti teh pogodb. Ti elementi so tako predpogoj za dobro sodelovanje pogodbenih strank in njuno obojestransko zadovoljstvo. Sodna praksa kaže, da pogosto prihaja do sporov ali celo tožb med pogodbenima strankama. V veliko primerih je sporno določilo »ključ v roke«, natančneje obseg del, ki ga klavzula zajema. V diplomskem delu ugotavljam, da gre odgovornost za to med drugim iskati v slabo pripravljenih projektih, pa tudi v zakonodaji, ki dopušča izvedbo razpisov za izbiro izvajalca na podlagi nepopolne projektne dokumentacije.
